Terms of Service

1. Acceptance of Terms

By accessing the website at shawonweb.com, purchasing our products, hiring our services, or using our client dashboard, you agree to be bound by these Terms of Service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

2. Description of Services

Shawon Web provides digital solutions including, but not limited to:

  • Vibe Coding Services: Custom web and software development assisted by Artificial Intelligence and verified by human developers.
  • SaaS Products: Subscription-based software (e.g., POS, CRM, E-commerce platforms).
  • Domain & Hosting: Domain registration management and web hosting services.

3. User Accounts

  • Registration: To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during the registration process.
  • Security: You are responsible for safeguarding your password. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account.
  • Domain Accuracy: For domain registrations, you are legally required to provide accurate contact information (Name, Address, Email, Phone). Providing false info may result in the suspension of your domain by the registry.

4. Payment, Renewals, and Billing

  • Pricing: Prices for products and services are listed on our website and are subject to change.
  • Subscriptions (SaaS):
    • SaaS products are billed on a subscription basis (Monthly or Yearly).
    • Auto-Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it through your Dashboard before the renewal date.
  • Custom Development: Custom projects require payment based on the agreed-upon milestones (e.g., 50% upfront, 50% upon completion).
  • Taxes: You are responsible for any applicable taxes (VAT/Tax) required by your local jurisdiction.

5. Domain Registration & Management

  • Agent Status: By purchasing a domain through Shawon Web, you authorize us to act as your "Designated Agent" to register and manage the domain name on your behalf via our registrar partners (e.g., Cloudflare).
  • Ownership: You are the legal owner of any domain registered through us, provided all fees are paid.
  • No Refunds on Domains: Domain registration fees are paid directly to the registry and are non-refundable under any circumstances once the domain is registered.
  • Expirations: We will notify you prior to domain expiration. Shawon Web is not liable for the loss of a domain if you fail to renew it before the expiration date.

6. Intellectual Property & "Vibe Coding"

  • SaaS Products: You are granted a limited, non-exclusive, non-transferable license to use our SaaS software. You do not own the source code of our SaaS platforms.
  • Custom Development: Upon full payment, the intellectual property rights to custom-developed code are transferred to the Client.
  • AI Usage Disclaimer: You acknowledge that Shawon Web uses "Vibe Coding" (AI-assisted development). While we perform human verification to ensure quality and security, code is generated with the assistance of Artificial Intelligence.

7. Free Trials

If you register for a Free Trial of our products, we will make the service available to you on a trial basis free of charge until the earlier of: (a) the end of the free trial period, or (b) the start date of any paid subscription.

Any data you enter into the service during your free trial will be permanently lost unless you purchase a subscription before the trial ends.

8. Refund Policy

  • SaaS Products: We offer a 7-day money-back guarantee for new SaaS subscriptions if the software is technically defective.
  • Custom Services: Refunds for custom development are governed by the specific contract signed for that project.
  • Domains: Strictly No Refunds.

9. Prohibited Use

You may not use our services to:

  • Host or distribute malicious code, viruses, or spam.
  • Engage in illegal activities or promote illegal goods.
  • Infringe upon the intellectual property rights of others.
  • Overload our infrastructure (DDoS attacks or high-load scraping).

10. Limitation of Liability

In no event shall Shawon Web, its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the services.
  • Any conduct or content of any third party on the service.
  • Any content obtained from the service.

Specifically regarding Domains: We are not liable for the loss of a domain name due to your failure to pay renewal fees or due to registry actions.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions. Any disputes arising from these terms will be settled in the courts of Panchagarh, Bangladesh.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
